LEX 220 Corporate Law Lecture: 2 Lab: 0 Clinic: 0 Credits: 2 This course covers the legal aspects of forming, operating, and maintaining a business. Emphasis is placed on the business corporation with additional coverage of sole proprietorships and partnerships. Upon completion, students should be able to draft basic partnership and corporate documents and file these documents as required.
Pre-requisite(s): LEX 120. Course is typically offered in Fall, Spring and Summer (when offered). Student Learning Outcomes (SLOs) At the completion of the course, the students should be able to do the following:
- Create the documents needed to incorporate a business in North Carolina using provided information for the business.
- Analyze the relationship between shareholders, directors, and officers in a typical corporation.
- Identify the legal principles governing the behavior and actions of corporate officials given various ethical scenarios.
- Classify the various forms of corporations when presented with unique characteristics of a business.
- Classify the benefits of incorporation for a business when supplied with the business’ stated desires.
